Allgemeine Geschäftsbedingungen

1. Anwendungsbereich

​

1. Diese AGB gelten für alle dem Fotografen erteilten Aufträge und für die Lizenzierung von Stock-Fotos. Sie gelten auch ohne erneuten Hinweis für weitere gleichartige Verträge.

2. Abweichende Bedingungen des Auftraggebers oder Lizenznehmers werden nicht anerkannt, es sei denn, der Fotograf stimmt deren Geltung ausdrücklich zu.

2. Auftragsproduktionen

​

1. Bei Auftragsproduktionen erstellt der Fotograf für den Auftraggeber Aufnahmen. Verträge über Auftragsproduktionen kommen durch Angebot des Fotografen und Annahme durch den Auftraggeber zustande.

2. Von den erstellten Aufnahmen wählt der Fotograf die vereinbarte Anzahl nach eigenem Ermessen aus, führt eine allgemeine Bildoptimierung durch und überlässt sie dem Auftraggeber per Datenübertragung oder auf einem Datenträger. Liefertermine sind nur dann verbindlich, wenn sie ausdrücklich vereinbart wurden.

3. Weitere Zusatzleistungen des Fotografen wie Bildbearbeitung, Speicherung, Bildergalerie oder Druck werden individuell vereinbart.

4. Hat der Auftraggeber dem Fotografen keine ausdrücklichen Weisungen hinsichtlich der Gestaltung der Aufnahmen gegeben, so sind Reklamationen bezüglich der Bildauffassung sowie der künstlerisch-technischen Gestaltung ausgeschlossen.

5. Der Fotograf räumt dem Auftraggeber mit Zahlung der vereinbarten Vergütung die ausschließlichen und unbeschränkten Nutzungs- und Verwertungsrechte an den Aufnahmen einschließlich des Bearbeitungsrechts ein, soweit nichts anderes vereinbart wurde.

6. Der Fotograf hat das Recht zur Eigennutzung und zur Namensnennung, sofern diese nicht ausgeschlossen wurden.

3. Lizenzierung von Stock-Fotos

​

1. Bei der Lizenzierung von Stock-Fotos räumt der Fotograf dem Lizenznehmer Nutzungsrechte an den lizenzierten Fotos ein.

2. Der Umfang der Nutzungsrechte ergibt sich aus der Vereinbarung. Soweit nichts anderes vereinbart wurde, erhält der Lizenznehmer ein nicht ausschließliches und nicht übertragbares Nutzungsrecht.

3. Sofern nichts anderes vereinbart wurde, kann der Fotograf verlangen, als Urheber der lizenzierten Fotos genannt zu werden.

4. Vergütung

​

1. Für Auftragsproduktionen und die Lizenzierung von Stock-Fotos gilt die vereinbarte Vergütung.

2. Kommt es bei Auftragsproduktionen zu einer Überschreitung des gebuchten Zeitraums, so erhöht sich die Vergütung des Fotografen im angemessenen Umfang.

3. Ist der Fotograf für einen bestimmten Termin oder Zeitraum gebucht worden und wird dieser vom Auftraggeber abgesagt, so behält der Fotograf den Anspruch auf die vereinbarte Vergütung. Die Vergütung vermindert sich jedoch um die ersparten Aufwendungen des Fotografen und um den Betrag, den der Fotograf mit einem anderen Auftrag an dem abgesagten Termin verdient hat oder hätte verdienen können.

4. Rechnungen sind innerhalb von 14 Tagen ohne Abzug zu zahlen. Bis zur vollständigen Zahlung der vereinbarten Vergütung ist dem Auftraggeber bzw. dem Lizenznehmer eine Nutzung der Aufnahmen bzw. der Stock-Fotos nicht gestattet.

5. Haftung

​

1. Der Auftraggeber versichert, dass bei der Aufnahme von Personen diese ihre Einwilligung erteilt haben.

2. Der Fotograf haftet dafür, dass die lizenzierten Stock-Fotos keine Rechte Dritter verletzen.

6. Datenschutz

​

1. Die zur Vertragserfüllung erforderlichen personenbezogenen Daten des Auftraggebers werden vom Fotografen gespeichert.

2. Der Fotograf verpflichtet sich, alle ihm im Rahmen des Auftrages bekannt gewordenen Informationen vertraulich zu behandeln und Aufnahmen - außer zur Eigennutzung - nicht ohne Einwilligung des Auftraggebers zu verwenden.

7. Schlussbestimmungen

1. Änderungen, Ergänzungen und Nebenabreden bedürfen, sofern in diesen AGB nichts anderes bestimmt ist, zu ihrer Wirksamkeit der Schriftform. Das Schriftformerfordernis gilt auch für den Verzicht auf dieses Formerfordernis.

2. Sollte eine der vorangehenden Bestimmungen unwirksam oder undurchführbar sein, bleibt die Wirksamkeit der übrigen Bestimmungen davon unberührt. Anstelle der unwirksamen oder undurchführbaren Bestimmung wird einvernehmlich eine geeignete, dem wirtschaftlichen Erfolg möglichst nahekommende rechtswirksame Ersatzbestimmung getroffen.

3. Als Gerichtsstand richtet sich nach den gesetzlichen Bestimmungen. Es gilt das Recht der Bundesrepublik Deutschland.

4. Sollte eine Bestimmung dieser Allgemeinen Geschäftsbedingungen unwirksam sein, wird davon die Wirksamkeit der übrigen Bestimmungen nicht berührt.

Terms of Service

1. Scope

​

These terms and conditions apply to all orders placed with the photographer and to the licensing of stock photos. They also apply to other similar contracts without further notice.

​

Deviating conditions of the client or licensee are not recognized unless the photographer expressly agrees to their validity.

​

2. Commissioned Productions

​

In the case of commissioned productions, the photographer creates recordings for the client. Contracts for commissioned productions come about through an offer from the photographer and acceptance by the customer.

The photographer selects the agreed number of shots at his own discretion, carries out general image optimization and leaves them to the client via data transmission or on a data carrier. Delivery dates are only binding if they have been expressly agreed.

Further additional services of the photographer such as image processing, storage, picture gallery or printing are agreed individually.

If the client has not given the photographer any explicit instructions regarding the design of the recordings, complaints regarding the image design and the artistic and technical design are excluded.

Upon payment of the agreed remuneration, the photographer grants the client the exclusive and unrestricted rights of use and exploitation of the recordings, including the right to edit them, unless otherwise agreed.

The photographer has the right to self-use and naming unless these have been excluded.

3. Licensing of Stock Photos

​

When licensing stock photos, the photographer grants the licensee the right to use the licensed photos.

The scope of the rights of use results from the agreement. Unless otherwise agreed, the licensee receives a non-exclusive and non-transferable right of use.

Unless otherwise agreed, the Photographer may request credit for the Licensed Photographs.

4. Compensation

​

The agreed remuneration applies to commissioned productions and the licensing of stock photos.

If, in the case of commissioned productions, the booked period is exceeded, the photographer's fee will increase to a reasonable extent.

If the photographer has been booked for a specific date or period and this is canceled by the client, the photographer retains the right to the agreed remuneration. However, the remuneration is reduced by the expenses saved by the photographer and by the amount that the photographer earned or could have earned with another job on the canceled date.

Invoices are to be paid within 14 days without deduction. The client or the licensee is not permitted to use the recordings or the stock photos until the agreed remuneration has been paid in full.

5. Liability

​

The client assures that when people are recorded, they have given their consent.

The photographer is responsible for ensuring that the licensed stock photos do not violate the rights of third parties.

​

6. Privacy

​

The personal data of the client required for the fulfillment of the contract are stored by the photographer.

The photographer undertakes to treat all information that has become known to him as part of the order confidentially and not to use the photographs - except for his own use - without the consent of the client.

7. Final Provisions

​

Changes, additions and ancillary agreements must be made in writing to be effective, unless otherwise specified in these General Terms and Conditions. The written form requirement also applies to the waiver of this form requirement.

Should one of the preceding provisions be ineffective or unenforceable, the validity of the remaining provisions shall remain unaffected. Instead of the ineffective or unenforceable provision, a suitable, legally effective replacement provision that comes as close as possible to the economic success is made by mutual agreement.

The place of jurisdiction is based on the statutory provisions. The law of the Federal Republic of Germany.

Should a provision of these General Terms and Conditions be ineffective, this shall not affect the validity of the remaining provisions.
